KARORI COMMUNITY GARDEN CONSTITUTION
The name of the organisation is Karori Community Garden (KCG).
The Karori Community Garden is a non-profit organisation with the primary aim of establishing and maintaining a community garden in Karori to enable the community to grow food in a sustainable manner.
Other aims include:
providing a safe and enjoyable place for people to learn about gardening;
facilitating new friendships;
creating opportunities for the transfer and exchange of knowledge and skills
encouraging people to spend time outdoors doing physical exercise;
working towards providing a food source for those in need and in the event of disaster;
enabling those less physically able to take part in gardening.
The Karori Community Garden is located at 21 Beauchamp Street, Karori, Wellington. All garden beds shall be available to all members.
Membership to the KCG is open to anyone. There is no limit on the maximum number of members. A record of members will be kept primarily through the KCG Facebook page.
There is no membership fee.
The Karori Community Garden will be directed, overseen and supported by an elected Committee who must act in accordance with the Constitution.
The Committee shall consist of at least six members, including a President/Coordinator, Treasurer, Secretary and at least three other members but not more than 10 members.
The President/Coordinator will normally preside at and chair all meetings.
The Secretary will be responsible for keeping and circulating minutes of meetings and for keeping members informed of Karori Community Garden activities and affairs.
The Treasurer shall collect and bank all money raised for the Karori Community Garden and account for all income and expenditure.
Where the designated committee member is not available to undertake the above tasks, another committee member may from time to time undertake that task on their behalf.
Meetings may be called at any time to discuss matters relating to the running of the Karori Community Garden. Any member of the Karori Community Garden may attend a meeting. Members shall be given at least seven days' notice of a meeting via email or the Karori Community Garden Facebook page.
The Committee may make changes to the Committee and decisions on financial matters and other general matters at a meeting or via email with the approval of two thirds of the existing Committee members.
Amendments to the Constitution shall only be made at an Annual General Meeting or Special General Meeting.
Annual General Meetings
There shall be an Annual General Meeting of the Club within six months of the end of each financial year. The financial year shall end on the last day of March each year. Karori Community Garden members shall be given at least 14 days' notice of an Annual General Meeting via the Karori Community Garden Facebook page.
Any Karori Community Garden member is entitled to vote at an Annual General Meeting. Eight KCG members shall constitute a quorum for an AGM.
The rules set out in this Constitution may be set, altered, added to or rescinded at an Annual General Meeting with the approval of two thirds of the quorum.
Special General Meetings
A Special General Meeting may be held if amendments to the Constitution are required at other times of the year. Karori Community Garden members shall be given at least 14 days' notice of a Special General Meeting via the Karori Community Garden Facebook page. Eight KCG members shall constitute a quorum for a Special General Meeting.
The rules set out in this Constitution may be set, altered, added to or rescinded at a Special General Meeting with the approval of two thirds of the quorum.
The Karori Community Garden finances shall be monitored by the Treasurer who reports directly to the Committee. All income and expenditure shall be clearly logged and any money raised or given to the Karori Community Garden must be deposited in the Karori Community Garden's bank account as soon as practicably possible.
The bank account must have at least three signatories, one of whom is the Treasurer and the other two of whom are Committee members. All financial transactions associated with KCG's bank account(s) shall be approved by two signatories.
A full statement of accounts must be available for inspection by the Committee at any time and must be presented to the Karori Community Garden members at each AGM.
Any income, benefit or advantage must be used to advance the charitable purposes of Karori Community Garden.
No member of the Karori Community Garden or anyone associated with a member is allowed to take part in or influence any decision made by the Karori Community Garden in respect of payments to or on behalf of the member or associated person of any income, benefit or advantage.
Any payments made to a member of the Karori Community Garden or any person associated with a member, must be for goods or services that advance the Karori Community Garden purposes and must be reasonable and relative to payments that would be made between unrelated parties.
Cessation of the Group
If the Karori Community Garden cannot manage to exist in perpetuity and is wound up, any remaining proceeds shall be donated to a local charity as determined by the Committee at that time.
If the Karori Community Garden is wound up or the garden is moved to another location, all improvements and equipment shall be removed from the property at 21 Beauchamp Street as soon as is practicably possible and the land returned to the state it was in just prior to the Karori Community Garden being established unless an alternative agreement is reached with the landowner.
